1. License Grant 

Subject to these Terms, we grant you a non-exclusive, non-transferable, non-sublicensable, limited license to access and use FACTKEEP solely for your internal business or research purposes. 

2. Restrictions 

You may not: 
– Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or architecture of FACTKEEP. 
– Use the Service to develop or train competing AI or LLM products. 
– Use the Service in any manner that violates applicable laws or regulations. 
– Share access credentials or output with unauthorized third parties. 
– Use the Service to process or generate content that is unlawful, harmful, defamatory, or infringes on intellectual property rights. 

3. Ownership and Intellectual Property 

All rights, title, and interest in and to the Service, including all intellectual property rights, are and will remain the exclusive property of the Provider. You retain ownership of your input data and generated outputs, subject to these Terms. 

Re-use of data 

4. Data Usage and Privacy 

– Input Data: You retain full ownership of the data you submit to FACTKEEP. We do not use customer data to train or improve the model unless explicitly authorized in writing. 
– Output: You are responsible for the use of any outputs generated. We do not guarantee factual accuracy or suitability for any particular use. 
– Confidentiality: We maintain strict confidentiality of customer data in accordance with our Privacy Policy. 

5. Service Availability and Support 

We will make commercially reasonable efforts to ensure FACTKEEP is available, but we do not guarantee uninterrupted service. Support terms, service levels, and maintenance windows will be specified in a separate Service Level Agreement (SLA), if applicable. 

6. Fees and Payment 

Your access to FACTKEEP is subject to the fees and payment terms outlined in your individual license agreement or order form. Failure to pay may result in suspension or termination of access. 

7. Term and Termination 

These Terms remain in effect for the duration of your license term. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your license will end, and you must cease all use of the Service. 

8. Disclaimer of Warranties 

FACTKEEP is provided “as is” and “as available,” without warranties of any kind, either express or implied. We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement. 

9. Limitation of Liability 

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, or consequential damages, or loss of profits or data, arising out of your use of or inability to use the Service. 

10. Indemnification 

You agree to indemnify, defend, and hold harmless FACTKEEP, its affiliates, and its employees from any claims, losses, or damages arising from your use of FACTKEEP or your violation of these Terms. 

11. Changes to Terms 

We reserve the right to update these Terms at any time. If changes are material, we will provide notice via email or through the Service. Continued use after such notice constitutes acceptance of the revised Terms. 

12. Governing Law 

These Terms are governed by the laws of England and Wales, without regard to its conflict of laws principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of England and Wales.
